Term Sheet Compliance Checker

Verify contract compliance against term sheets:

  1. Attach both a term sheet and a contract in the same email
  2. Alternatively, include the term sheet content in the email body
  3. Junior will analyze the documents and identify non-compliant terms
  4. Receive a detailed color-coded comparison table (in both PDF and Word formats) with specific citations

How Term Sheet Checking Works

The Term Sheet Compliance Checker helps you ensure that a contract accurately reflects the terms agreed upon in a term sheet:

  1. Term Sheet Analysis: Junior extracts key provisions from your term sheet document or from the content provided in your email
  2. Contract Analysis: Junior processes the contract document in manageable batches for thorough analysis
  3. Provision Matching: Each term sheet provision is carefully compared against the contract language
  4. Compliance Scoring: Each provision receives a compliance score:
    • High scores (4-5): Indicates strong alignment between term sheet and contract
    • Medium scores (2-3): Indicates partial alignment with some discrepancies
    • Low scores (0-1): Indicates significant deviations or missing provisions

Output Format

Junior delivers the results in multiple formats:

  1. Detailed Word Document: Contains a table with:
    • Term sheet provisions
    • Compliance scores
    • Explanations of discrepancies
    • Citations to relevant contract paragraphs
  2. PDF Version: Same content as the Word document for easier sharing
  3. Executive Summary: A concise overview of the analysis highlighting key findings and areas of concern
